1. Description of Promotion

Welcome to the Red Spade Pass Sweepstakes promotion (the “Promotion”) where, each time they complete one of the Entry Methods (as defined in Section 4 below), participants earn entry tickets (“Entry/Entries”) to a random prize draw (the “Prize Draw”) for a chance to win a Red Spade Pass (the “Prize”).

The Promotion is sponsored by TSG Interactive US Services Limited (the “Sponsor”). In these Official Rules, a reference to “you” or “your” or “participant” is a reference to persons wishing to participate in the Promotion. Participation in the Promotion is expressly conditioned upon acceptance of, and compliance with all requirements set out in, these Official Rules. You may be required to sign paperwork issued by the Sponsor.

2. Promotion Period

The Promotion will begin at 6:00 AM ET on August 30, 2023 and end at 11:59 PM ET on September 30, 2023 (the “Promotion Period”).

3. Eligibility

To enter the Promotion, you must be at least 21 years of age, have a PokerStars Account (as defined in Section 6 below), be physically present in New Jersey, Pennsylvania or Michigan when you participate in the Promotion (depending on whether you are playing on the www.pokerstarsnj.com, pokerstarsmtairycasino.com or www.pokerstarsmi.com website respectively) and have received an invitation from Sponsor. The invitation is non-transferable and if you were not directly invited by the Sponsor, you will not be eligible to participate in the Promotion. If your social security number is associated with more than one PokerStars Account, you may only earn one Promotion Bonus via one PokerStars Account under the Promotion. Employees, officers and directors of the Sponsor, its affiliates, cable/satellite affiliates, advertising and promotion agencies, retailers, distributors, and each of such employees’, officers’ and directors’ immediate family members and/or those living in the same household (whether legally related or not) of each are not eligible to participate in the Promotion or receive a Promotion Bonus. Individuals who have entered any self-limited or government agency self-exclusion program or have been otherwise excluded from casinos by a government agency, the Sponsor and/or one or more of its affiliates and/or gaming license partners and persons on a Disassociated Patrons, Self-Limit, Involuntary Exclusion, Voluntary Exclusion or Self Exclusion List in jurisdictions which the Sponsor and/or its affiliates and/or gaming license partners operate are not eligible to participate in the Promotion, receive a Promotion Bonus or win the Prize.

4. Action Required

To participate in the Promotion, during the Promotion Period you must do the following (depending on whether you are a new or existing customer, or whether you wish to enter via the Alternative Entry Method (as set out below)) (the “Promotion Requirements”):

Existing customers: You must log into your PokerStars Account, opt into the Promotion via the invite displayed in the ‘Challenges’ section of your PokerStars Account and make a deposit of at least US$10. You may only make 1x qualifying deposit of at least US$10 , and if you make a qualifying deposit you will earn 1x Entry into the Prize Draw. For the avoidance of doubt, the maximum number of Entries you can earn is x1. 

Alternative Entry Method: Alternatively, you may enter the Promotion by sending a copy of a valid US photo ID along with your name, address, gender, age, email address, and PokerStars Account username to the Sponsor at  #1096 2230 Route 70 W STE 2, Cherry Hill, NJ 08002. All Promotion entries submitted via the Alternate Entry Method will constitute one Entry to the Prize Draw and must be received by the Sponsor during the Promotion Period. Individuals must satisfy the eligibility

requirements in Section 3 above to submit an entry via the Alternate Entry Method. Limit of 1x entry via the Alternate Entry Method per PokerStars Account holder.

By participating in the Promotion, you agree that you have reviewed and accept these Official Rules and the Sponsor’s Privacy Policy and Terms of Service (as set out in Section 6 below). You agree to abide by these Official Rules and the decisions of the Sponsor, which are final and binding in all respects.

5. Claiming Promotion Offer

Upon satisfying the Promotion Requirements, you will receive Entries to the Prize Draw, the number of which is based on the number of qualifying deposits you make, as set out in Section 4 above (“Promotion Bonus”).

There will be 3x separate Prize Draws as follows: all valid Entries received from NJ PokerStars Account holders will be pooled together in one Prize Draw; all valid Entries received from MI PokerStars Account holders will be pooled together in another Prize Draw; and all valid Entries received from PA PokerStars Account holders will be pooled together in another Prize Draw. Each Prize Draw will take place on Monday, October 4, 2023 and 1x winner will be selected at random from each Prize Draw to win the Prize. The Sponsor will contact the winners by email (using the address linked to their PokerStars Account) within 72 hours of the Prize Draw. The winners must claim their Prize by responding to the Sponsor’s email by no later than October 9, 2023. If a winner does not claim their Prize by October 9, 2023, their Prize may be forfeited and declared void at the Sponsor’s discretion, and their Prize may be allocated to another participant randomly selected by the Sponsor from the applicable Prize Draw pool.

The winner of each Prize Draw will win the Prize, which is a Red Spade Pass consisting of the following for the winner and one companion:

• VIP viewing experience at the Las Vegas Grand Prix on 16, 17 and 18 November 2023
• Return economy class flights from an airport in the winner’s state of residence to Las Vegas, Nevada (outbound November 14, 2023, inbound November 19, 2023)
• 5x nights’ accommodation (November 14 – 18, 2023) in a 5-star hotel (one room for the winner and their companion to share)
• Transfers between Las Vegas airport and the hotel
• PokerStars x Oracle Red Bull Racing merchandise bundle

The total approximate retail value (“ARV”) of the Prize is US$35,000.

Prize T&Cs: 1. The winners’ companions must be aged 21 or over. 2. Flights can only be arranged from the winners’ state of residence. 3. The Prize does not include any costs, taxes, fees, expenses and/or arrangements not expressly specified in the Prize description. The winners and their companions are solely responsible for, and the Sponsor will not be liable to reimburse the winners/their companions for, any such additional charges and expenses. 4. The winners and their companions must make their travel arrangements through the Sponsor’s designated agent and use the carriers and providers selected by the Sponsor or its designated agent. The winners and their companions must travel together and must follow the itinerary provided by the Sponsor or its designated agent. 5. It is the responsibility of the winners and their companions to check any requirements for the airline, hotel, event venue and any other supplier providing elements of the Prize. The winners and their companions are bound by, and must comply with, any terms and conditions set out on their event and airline tickets and the rules, regulations, requirements and policies of the airline, hotel, event venue, event promoter and any other supplier connected with the Prize. The Sponsor is not responsible for any failure of the winners and/or their companions to gain entry or re-entry to the airline, hotel and/or event, or to participate in any element of the Prize, due to any action/inaction on the part of the winners and/or their companions. 6. It is the responsibility of the winners and their companions to check and ensure that they satisfy all customs, security and immigration requirements in relation to travel between Las Vegas and their state of departure (including all requirements relating passports, visas and other documentation). The Sponsor has no liability if the winners and/or their companions are refused entry because they do not satisfy such requirements and the winners/their companions are solely responsible for all costs associated with refused entry. 7. It is the responsibility of the winners and their companions to check any government travel advisories relating to the travel destination and to determine what action to take in relation to any such advisories. The Sponsor has no liability if the winners/their companions do not make such checks, if they choose to travel despite the advice given in any relevant advisory or if they choose not to travel on the advice given in any relevant advisory (in which case the Sponsor will not be obliged to offer a substitute prize). 8. It is the responsibility of the winners and their companions to check whether any vaccinations and/or prescription medicines are recommended or required prior to travel and the Sponsor has no liability in this respect. 9. It is the responsibility of the winners and their companions to take out their own travel insurance in connection with the Prize. The Sponsor will have no liability for any failure by the winners and/or their companions to take out travel insurance and/or to comply with the terms and conditions of their travel insurance policy. 10. The Sponsor has no liability for lost or stolen tickets, vouchers, certificates and/or other documentation connected with the Prize. 11. All elements of the Prize are strictly non-transferable, non-exchangeable and may not be re-sold. No cash or any other alternative is available for any element of the Prize. No alternative dates are available. 12. If a winner is unable to use/take part in any element of the Prize, for any reason beyond the Sponsor’s reasonable control, the Sponsor is not obliged to offer an alternative prize or any cash alternative or compensation. If a winner is unable to go on the trip to the Las Vegas Grand Prix, they must inform the Sponsor as soon as possible and their entire Prize package will be forfeited, following which the Sponsor may, in its discretion, offer their Prize to another participant selected at random from the applicable Prize Draw pool. 13. The winners and their companions must not do anything that may bring the Sponsor, any of its group companies or its commercial partners into disrepute. The Sponsor reserves the right to take appropriate action (including the removal of any element of the Prize) if the winners and/or their companions act in a way that the Sponsor reasonably considers to bring the Sponsor, any of its group companies or its commercial partners into disrepute. 14. The Sponsor is not liable for any loss, theft, damage or injury caused or sustained by the winners/their companions as a result of participating in the Prize (except that the Sponsor will be liable for death or personal injury arising from the Sponsor’s negligence or for fraudulent misrepresentation). 15. Prize details and availability are subject to change and the Prize providers’ rules and restrictions, and in the event that the Sponsor is unable to provide a winner with their Prize, the Sponsor may elect to provide them with cash equivalent to the ARV of the Prize or an alternate prize of comparable or greater value. 16. The Prize is awarded “AS IS” and without warranty of any kind, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). 17. The ARV of the Prize is based on available information provided to the Sponsor. The Sponsor is not responsible for, and the winners will not receive, the difference, if any, between the actual value of the Prize at the time of award and the ARV stated in these Official Rules or in any sweepstakes-related correspondence or material.  18. The winners may be required to provide the Sponsor with a valid social security number before their Prize is awarded for tax reporting purposes. An IRS Form 1099 may be issued in the name of the winners.

Participants will be solely responsible for all federal, state, and local taxes, and for any other fees or costs associated with the Promotion Bonus and (if applicable) the Prize, regardless of whether the Promotion Bonus and/or the Prize, in whole or in part, is used. The Promotion Bonus and (where applicable) the Prize value may be reported for tax purposes as required by law.      

6. Registration Procedures

To qualify for the Promotion, regardless of the Entry Method you use, you must have an active real money verified account on www.pokerstarsnj.com (“NJ PokerStars Account”), www.pokerstarsmi.com (“MI PokerStars Account”) or pokerstarsmtairycasino.com (“PA PokerStars Account”) (each a “PokerStars Account”). Creating a PokerStars Account is free, however you will be required to verify your identity and agree to the Sponsor’s Terms of Service and Privacy Policy for the relevant website. If you do not agree to the relevant website’s Terms of Service and Privacy Policy, you cannot create a PokerStars Account or participate in the Promotion.

7. Limitations on Participation

In addition to the eligibility requirements in Section 3 above, the Sponsor reserves the right to refuse or otherwise restrict your eligibility to participate in the Promotion for any reason, in its sole discretion, including based on your wagering patterns or wagering history or if you failed to take advantage of any previous Sponsor Promotion in good faith. The Promotion is void where prohibited by law.

8. Wagering Requirements

See Section 4. Any deposit made outside the Promotion Period will not count towards the Promotion Requirements. The Promotion Bonus is not transferable and cannot be substituted except in the Sponsor’s sole discretion.

11. Restrictions on Withdrawal

You may withdraw your deposited funds at any time, but making a withdrawal of a qualifying deposit during the Promotion Period may mean you are not invited to participate in the Sponsor’s future deposit promotions.

12. Cancellation

Should you wish to cancel your participation in the Promotion at any time, please contact customer support at support@starssupportnj.com (for New Jersey participants), support@starssupportpa.com (for Pennsylvania participants) or support@starssupportmi.com (for Michigan participants). Upon cancellation, you may withdraw any funds you have deposited into your PokerStars Account without restriction.

14. Additional Terms

Odds: Your odds of winning the Prize depend on the number of entries you have been awarded in accordance with Section 4 and the number of other eligible entries awarded to other participants during the Promotion Period. Outcomes of the Prize Draw will be determined by a random number generator.

Administration:  The Sponsor expressly reserves the right to amend, suspend or terminate the Promotion at any time without prior notice or consent.  Administration of the Promotion is at the sole discretion of the Sponsor.  The Sponsor reserves the right to restrict at any time any person from participating in the Promotion for any reason.  Any questions relating to eligibility, these Official Rules or any other questions concerning the Promotion will be resolved at the sole discretion of the Sponsor and its decisions will be final and binding with respect thereto.  No groups, clubs, corporations, companies, partnerships, or organizations may participate in the Promotion or reproduce or distribute any portion of these Official Rules to their members.

Tampering with Promotion:The Sponsor is not responsible for the actions of participants in connection with the Promotion, including participants’ attempts to circumvent these Official Rules or otherwise interfere with the administration, security, fairness, integrity or proper conduct of the Promotion.  Persons found tampering with or abusing any aspect of the Promotion, or whom the Sponsor believes to be causing malfunction, error, disruption or damage may be disqualified.  Additionally, any attempt to cheat the Promotion, as determined at the sole and absolute discretion of the Sponsor, may result in immediate disqualification of the relevant participant, as well as other possible consequences, including disqualification from any and all existing and future Sponsor promotions.  ANY ATTEMPT BY A PERSON TO DAMAGE ANY WEBSITE (INCLUDING ANY SOCIAL MEDIA PLATFORM OR APPLICATION) OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK ALL LEGAL AND EQUITABLE REMEDIES FROM AND AGAINST ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.  The Sponsor reserves the right, at its sole and absolute discretion, to disqualify (or terminate the Promotion Bonus or Prize of) any participant who is found to be, or suspected of, acting in violation of these Official Rules, or to be acting in an unsportsmanlike, obscene, immoral or disruptive manner, or with the intent to annoy, abuse, threaten or harass any other person.

Suspension / Modification / Termination:In the event the Sponsor is prevented from continuing with the Promotion by any event beyond its control, including, but not limited to, fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications or equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Promotion by any party, or any federal, state, local or provincial government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within the Sponsor’s control, the Sponsor shall have the right to modify, suspend or terminate the Promotion. The Sponsor additionally reserves the right, in its sole and absolute discretion: (a) to modify, suspend or terminate the Promotion should causes beyond the Sponsor’s control corrupt or interfere with the administration, integrity, operation, security or proper play of the Promotion; or (b) to disqualify any participant found to be, or suspected of: (i) tampering with the entry process or the operation of the Promotion; (ii) acting in violation of these Official Rules; or (iii) acting in an un-sportsmanlike manner.

Release and Waiver of Liability:  By participating in the Promotion, you agree to release, discharge, indemnify and hold harmless the Sponsor and its directors, officers, employees, agents, successors and assigns (collectively, “Released Parties”) from and against any and all claims, liability, costs (including attorneys’ fees), losses, damages, fines or injuries (up to and including bodily injury and death) of any kind arising out of or related to: (i) your participation in the Promotion (including travel to/from any Promotion and/or Prize activity); (ii) any acceptance, possession, misuse or use of the Promotion Bonus and/or Prize (including, without limitation, losses, damages or injuries to your or any other person’s equipment or other property, or to your/their persons, including those arising from any travel to/from any Prize event or activity); (iii) the Released Parties’ violation of rights of publicity or privacy, claims of defamation or portrayal in a false light or based on any claim of infringement of intellectual property; and (iv) any typographical, human or other error in the printing, offering, selection, operation or announcement of any Promotion activity and/or Prize.  Without limiting the generality of the foregoing, you agree that the Released Parties have neither made nor will be in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, in connection with the Promotion and/or with respect to the Prize, including, without limitation, to the Prize’s quality or fitness for a particular purpose. You agree and that the Released Parties shall have no responsibility or liability for discontinued prizes; human error; incorrect or inaccurate transcription of registration and/or account information; any technical malfunctions of the telephone network, computer online system, computer dating mechanism, computer equipment, software, or Internet service provider utilized by the Sponsor interruption or inability to access the website, application or any online service via the Internet due to hardware or software compatibility problems; any damage to your (or any third person’s) computer and/or its contents related to or resulting from any part of the Promotion; any lost/delayed data transmissions, omissions, interruptions, viruses, bugs, defects; and/or any other errors or malfunctions, even if caused by the negligence of the Released Parties. You further agree to indemnify and hold harmless the Released Parties from and against any and all liability resulting or arising from the Promotion and to release all rights to bring any claim, action or proceeding against the Released Parties and hereby acknowledge that the Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to the Prize, including express warranties provided exclusively by a supplier that may be sent along with the Prize. The Released Parties are not responsible for any changes or unavailability of the social media platform used for purposes of administering the Promotion that may interfere with the Promotion (including any limitations, any restrictions, or any conditions on the Sponsor’s ability to use the social media platform for the Promotion as set forth herein that are not acceptable to the Sponsor) or your ability to timely enter, receive notices or communicate with the Sponsor via the social media platform, in which case the Sponsor, in its sole discretion, may terminate or modify the Promotion.

Entry Information and Promotion Communications:As a condition of entering the Promotion, you give consent for the Sponsor to obtain and deliver your name, address and other information to third parties for the purpose of administering the Promotion and to comply with applicable laws, regulations and rules.  Any information you provide to the Sponsor may be used to communicate with you in relation to the Promotion and may be used on the Promotion winners’ list.

Governing Law:  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of participants, the Sponsor and/or the Released Parties in connection with the Promotion will be governed by and construed in accordance with the internal laws of the State of Florida, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other laws.

BY ENTERING THE PROMOTION, YOU AGREE THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE PROMOTION, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED US$10.00, BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; AND (C) UNDER NO CIRCUMSTANCES WILL YOU BE PERMITTED TO OBTAIN ANY AWARD FOR, AND YOU HEREBY KNOWINGLY AND EXPRESSLY WAIVE ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED US$10.00, AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.

Miscellaneous:  The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision of these Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. The Sponsor’s failure to enforce any provision of these Official Rules will not constitute a waiver of that provision. You agree to waive any rights to claim ambiguity of these Official Rules.  Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of any provision hereof.  In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion-related materials, Privacy Policy or Terms of Service on any website, social media platform or application and/or these Official Rules, these Official Rules shall prevail, govern and control and the discrepancy will be resolved in the Sponsor’s sole and absolute discretion.
